1. Who We Are

Welcome to CIATAU! This website, ciatau.com, and the Services described below are operated by MB RWY07, a small partnership (mažoji bendrija) registered in the Republic of Lithuania, company code 306693258, registered address Saltoniškių g. 44-65, LT-08106 Vilnius, Lithuania, trading as CIATAU ("we", "us", "our", or the "Company"). Throughout these Terms, references to "CIATAU" refer to MB RWY07. CIATAU is powered by Shopify, which enables us to provide the Services to you.

These Terms of Service, together with any policies referenced here (these "Terms"), describe your rights and responsibilities when you use our Services. Please read them carefully, as they include important information about your legal rights, including warranty disclaimers and limitations of liability.

By visiting, interacting with, or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you should not use or access our Services.

2. Access and Account

By agreeing to these Terms, you represent that you are at least 18 years old, or that you are using the Services with the consent and supervision of a parent or legal guardian.

To use the Services, you may be asked to provide information such as your email address, billing, payment, and shipping information. You represent that all information you provide is correct, current, and complete, and that you have the right to provide it.

You are solely responsible for maintaining the security of your account credentials and for all activity on your account. You may not transfer, sell, assign, or license your account to any other person.

3. Our Products

We make every effort to accurately represent our products, but colors or appearance may differ from how they appear on your screen due to your device and its settings. We do not warrant that products purchased will meet your expectations or match their depiction in our store exactly.

All product descriptions are subject to change at any time at our discretion. We reserve the right to discontinue any product, and to limit quantities offered to any person, geographic region, or jurisdiction. Nothing in this section affects your statutory rights as a consumer, including your right to receive goods that conform to their description and are of satisfactory quality.

4. Orders

When you place an order, you are making an offer to purchase. We reserve the right to accept or decline your order for any lawful reason. Your order is not accepted until we confirm acceptance, and we must receive and process your payment before an order is accepted. Please review your order carefully before submitting, as we may be unable to accommodate cancellation requests after an order is accepted.

If we do not accept, change, or cancel an order, we will attempt to notify you using the email, billing address, or phone number provided with your order.

Your purchases are subject to return or exchange in accordance with our Refund Policy and Section 5 (Right of Withdrawal) below.

You represent that your purchases are for your own personal or household use, not for commercial resale or export, unless otherwise agreed with us in writing.

5. Right of Withdrawal (EU Consumers)

If you are a consumer purchasing from within the European Union, you have the right to withdraw from your purchase contract within 14 calendar days of receiving your order, without giving any reason, in accordance with Article 6.228¹⁰ of the Civil Code of the Republic of Lithuania, implementing Directive 2011/83/EU on consumer rights.

To exercise this right, please inform us of your decision to withdraw by emailing hello@ciatau.com with your order number before the 14-day period expires. If you withdraw within this period, we will refund all payments received from you, including the original standard delivery cost (excluding any extra costs if you chose a delivery method other than our standard, least expensive option), without undue delay and in any event within 14 days of receiving your notice of withdrawal or, if earlier, evidence that the goods have been sent back. You are responsible for the cost of returning the goods to us.

The right of withdrawal does not apply to goods made to your specifications or clearly personalized, or to goods which are not suitable for return for health protection or hygiene reasons if unsealed after delivery, to the extent such exceptions apply under applicable law.

This right of withdrawal is separate from, and in addition to, our Refund Policy, which may offer more generous terms.

6. Prices and Billing

Prices, discounts, and promotions are subject to change without notice. The price charged will be the price in effect when your order is placed, as set out in your order confirmation email. Unless otherwise stated, posted prices do not include taxes, shipping, handling, customs, or import charges.

Prices in our online store may differ from prices in physical retail locations or third-party stores. Promotions may be governed by separate terms; if there is a conflict, the promotion's terms will govern.

You agree to provide current, complete, and accurate purchase, payment, and account information, and to promptly update this information so we can complete your transactions and contact you as needed.

7. Shipping and Delivery

All delivery times are estimates only and are not guaranteed. We are not liable for delays caused by shipping carriers, customs processing, or events outside our reasonable control. Once we transfer products to the carrier, risk of loss passes to you, without prejudice to your statutory rights as a consumer.

8. Intellectual Property

Our Services, including all trademarks, brand elements, text, images, graphics, product reviews, and their design, selection, and arrangement, are owned by CIATAU (MB RWY07), its affiliates, or licensors, and are protected by applicable copyright, trademark, and other intellectual property laws.

These Terms permit you to use the Services for personal, non-commercial use only. You must not reproduce, distribute, modify, publicly display, republish, download, store, or transmit any material from the Services without our prior written consent. All rights not expressly granted are reserved by CIATAU.

CIATAU's names, logos, and designs are trademarks of MB RWY07 or its affiliates. You must not use them without our prior written permission. Shopify's name, logo, and related marks are trademarks of Shopify Inc.

9. Optional Tools

You may be provided access to third-party tools as part of the Services, which we neither monitor nor control. We provide access to such tools "as is" and "as available", without warranties of any kind, and we have no liability arising from your use of them. You should review the relevant third party's own terms before using any optional tool.

10. Third-Party Links

The Services may contain links to third-party websites. We are not responsible for examining or evaluating the content or accuracy of any third-party materials, and accessing them is at your own risk. Complaints regarding third-party products or services should be directed to the relevant third party.

11. Relationship with Shopify

CIATAU is powered by Shopify, which enables us to provide the Services to you. However, any sales and purchases you make in our store are made directly with CIATAU (MB RWY07). By using the Services, you acknowledge that Shopify is not responsible for any aspect of any sale between you and CIATAU, including any injury, damage, or loss resulting from purchased products. You expressly release Shopify and its affiliates from all claims, damages, and liabilities arising from or related to your purchases and transactions with CIATAU.

12. Privacy

All personal information we collect through the Services is subject to our Privacy Policy. Because the Services are hosted by Shopify, Shopify also collects and processes certain personal information about your use of the Services to provide and improve them. Information you submit may be shared with Shopify and with third parties, including in other countries, as needed to provide the Services.

13. Feedback

If you submit ideas, suggestions, reviews, or other feedback ("Feedback"), you grant us a perpetual, worldwide, royalty-free license to use, reproduce, modify, publish, and distribute it for any purpose, including commercial use. You represent that you own or have the rights to your Feedback, and that it will not violate any third party's rights or contain unlawful, defamatory, or malicious content. We are under no obligation to keep Feedback confidential, compensate you for it, or respond to it, and we may, but are not obligated to, monitor or remove Feedback at our discretion.

14. Errors, Inaccuracies, and Omissions

Occasionally the Services may contain typographical errors, inaccuracies, or omissions relating to product descriptions, pricing, promotions, shipping charges, or availability. We reserve the right to correct such errors and to change, update, or cancel orders based on inaccurate information at any time, including after an order has been submitted.

15. Prohibited Uses

You may use the Services for lawful purposes only. You may not: use the Services for any unlawful or malicious purpose; violate applicable laws or regulations; infringe our intellectual property rights or those of others; harass, abuse, or harm any person; transmit false or misleading information; send spam or unsolicited promotional material; impersonate any person or entity; upload viruses or malicious code; collect or track others' personal information without consent; or interfere with, bypass, or circumvent the security or access-control measures of the Services. We reserve the right to suspend or terminate your account at any time if we determine you have violated these Terms.

16. Agents

This section applies if you use, enable, or cause the deployment of an "Agent" — any software or service that takes autonomous or semi-autonomous action on behalf of a person or entity to access, use, or interact with our Services.

An Agent may only access, use, or interact with our Services if it, at all times: (a) identifies itself as an Agent in all requests, including by disclosing its name in the request's user agent string ("Agent/[agent name]"); (b) does not conceal or obfuscate that it is an Agent, including by mimicking human behavior or bypassing CAPTCHAs or similar measures; (c) responds truthfully to any prompt seeking to determine whether an interaction is from a human or a computer; and (d) does not circumvent any measure intended to block, limit, or control Agent access. We may limit, by technical or other means, whether and how any Agent accesses the Services, and may request that an Agent cease accessing the Services at any time.

17. Consumer Guarantees and Warranties

As a consumer, you are entitled to certain statutory guarantees under Lithuanian and EU law which cannot be excluded, including the legal guarantee that goods conform to the contract for two years from delivery. Nothing in these Terms limits or excludes these statutory rights.

18. Disclaimer of Warranties

Information presented through the Services is provided for general information purposes only, and any reliance on it is at your own risk. Subject to your statutory rights under Section 17 above, the Services and products offered through them are provided "as is" and "as available", without warranties of any kind, either express or implied, to the maximum extent permitted by applicable law. We do not guarantee that your use of the Services will be uninterrupted, timely, secure, or error-free.

19. Limitation of Liability

To the maximum extent permitted by applicable law, CIATAU (MB RWY07), our partners, directors, officers, employees, affiliates, agents, contractors, service providers, or licensors, and those of Shopify and its affiliates, shall not be liable for any indirect, incidental, punitive, special, or consequential damages arising from your use of the Services or any products purchased through them. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable Lithuanian or EU law, including liability for death or personal injury caused by negligence, for fraud, or for breach of your statutory consumer rights.

20. Indemnification

You agree to indemnify, defend, and hold harmless CIATAU (MB RWY07), Shopify, and our respective affiliates, partners, officers, directors, employees, agents, contractors, and service providers from any losses, damages, liabilities, or claims, including reasonable legal fees, arising from: (1) your breach of these Terms; (2) your violation of any law or third-party right; or (3) your access to and use of the Services.

We will notify you of any indemnifiable claim; a failure to promptly notify will not relieve you of your obligations unless you are materially prejudiced as a result. We may control the defense and settlement of such a claim at your expense, but will not settle any claim requiring a non-monetary obligation from you without your consent, which will not be unreasonably withheld. You agree to cooperate with the defense of any indemnified claim.

21. Severability

If any provision of these Terms is found to be unlawful or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

22. Waiver; Entire Agreement

Our failure to exercise or enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. These Terms, together with any policies referenced here, constitute the entire agreement between you and us regarding your use of the Services, superseding any prior agreements or communications.

23. Assignment

You may not transfer or assign these Terms, or any of your rights or obligations under them, without our prior written consent; any such attempt will be void. We may transfer, assign, or delegate these Terms and our rights and obligations without notice to you.

24. Governing Law and Disputes

These Terms are governed by the laws of the Republic of Lithuania, without regard to its conflict of law provisions. If you are a consumer, this choice of law does not deprive you of the protection afforded by mandatory provisions of the law of the country in which you are habitually resident.

If you are an EU consumer and a dispute arises that we are unable to resolve directly, you may submit your complaint via the European Commission's Online Dispute Resolution (ODR) platform: https://ec.europa.eu/consumers/odr. You may also contact the Lithuanian State Consumer Rights Protection Authority (Valstybinė vartotojų teisių apsaugos tarnyba) for assistance.

25. Governing Language

These Terms may be made available in multiple languages for your convenience. In the event of any conflict between the English version and a translated version, the English version shall govern and take precedence.

26. Headings

The headings used in these Terms are included for convenience only and do not limit or otherwise affect these Terms.

27. Changes to These Terms

We reserve the right, at our discretion, to update or change these Terms by posting updates to our website. It is your responsibility to check this page periodically. Your continued use of the Services following the posting of any changes constitutes your acceptance of those changes.
